Incorporating a Limited Liability Partnership
Key steps and records for creating an LLP through the Ministry of Corporate Affairs.
An LLP is a separate legal entity governed by the LLP Act and its LLP agreement. It combines organisational flexibility with limited liability, subject to statutory duties and compliance. MCA uses the FiLLiP incorporation webform; form names, attachments and fees can change.
Eligibility
An LLP requires the prescribed partners and designated partners, including applicable residency and identification conditions under current rules.
Potential benefits
Separate legal personality, perpetual succession and limited liability, with an agreement-based internal structure.
How to apply
Identify partners and designated partners, obtain required digital signatures, reserve or propose the name and file FiLLiP with the MCA. After incorporation, execute and file the LLP agreement within the applicable period. Complete PAN, bank, Udyam, GST and activity licences as applicable.
