Choosing a business constitution in India
Compare proprietorship, partnership, LLP, OPC and private limited company before registering.
The right structure depends on the number of owners, personal-liability exposure, continuity, compliance cost, tax treatment, funding plans and exit strategy. A proprietorship is simple but not legally separate from its owner. A partnership is governed by its deed and partners generally carry broader liability. An LLP is a separate legal entity with limited liability and an LLP agreement. OPC and private limited companies are incorporated entities with company-law governance and annual compliance. Obtain professional legal and tax advice for the specific activity and state.
Eligibility
Promoter, partner, director, residency, nominee and activity requirements vary by structure and current law. Regulated activities may require separate approval.
Potential benefits
Selecting the structure early helps align ownership, liability, banking, contracts, taxation, investment and succession.
How to apply
Document the owners, capital, roles, risk and funding objectives. Compare compliance and liability. Check name availability and activity restrictions, then use the applicable state authority or MCA incorporation process. Complete PAN, bank, tax, Udyam and sector licences where applicable.
